Duties & Responsibilities of ESG Committee

Primary duties & responsibilities

The committee will assist the MD & CEO and the senior management representing various functions with respect to ESG Matters:

  • Finalising general strategy of the Company relating to ESG Matters;
  • Developing, implementing, and monitoring initiatives and policies based on such strategy;
  • Overseeing communication with employees, investors and other stakeholders with respect to ESG Matters;
  • Monitoring and assessing developments relating to, and improving the Company’s understanding of ESG Matters;
  • Direct and encourage the Company’s Subsidiaries, Associates and Joint Ventures to adopt similar ESG practices, if already not in existence; and
  • Emphasize and encourage the Company’s value chain partners to adopt similar ESG practices, if already not in existence.

Other duties and responsibilities

  • Other duties and responsibilities of the ESG Committee shall include the following:
  • Assist the MD & CEO in setting the Company’s general strategy with respect to ESG Matters, and to consider and recommend policies, practices, and disclosures that conform to the strategy;
  • Advice the Company Secretary in matters of reporting and disclosures on ESG in compliance with regulatory requirements and also voluntary disclosures if considered necessary;
  • Assist the MD & CEO in overseeing internal and external communications regarding company’s approach to ESG Matters;
  • Consider and bring to the attention of the Board of Directors as considered appropriate, current and emerging ESG Matters that may affect the business, operations, performance or public image of the Company or are otherwise pertinent to the Company and its stakeholders and to make recommendation on how the Company’s policies, practices and disclosures can be formulated keeping in mind the current position of the Company;
  • Consider and if deemed fit, make periodic visits, as individual member or as a committee to operating locations in order to become familiar with the  nature of the operations and review relevant objectives , procedures and performance with respect to ESG Matters;
  • Put up systems in place as deemed necessary and appropriate, to monitor ESG matters and deploy advisors /domain experts in matters of consequence for fulfilment of Company’s ESG objectives;
  • Advice the MD & CEO on stakeholders proposal and other significant stakeholder’s concern relating to ESG Matters;
  • Remain engaged with committee reporting for gaining immediate inputs on ESG concerns, recommendations and actions.
  • Review and access the objectives annually if considered necessary and recommend any proposed changes for approval;
  • Constitute various sub-committees under the guidance of ESG Committee, viz. Safety, Health, Environment and Sustainability Committee (SHES)Ethics CommitteeEmployee Welfare Committee and so on in consultation with the Board of Directors; and

Perform such other duties, task and responsibilities relevant to the purpose of ESG Committee.
